Welcome to Compress IQ. These Terms of Use govern your access to and use of our image processing services, which include, but are not limited to, optimization, colorization, and inpainting (collectively, the "Services").

By accessing or using our Services, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree with any of these Terms, please do not use our Services.

1. Use of the Services

Eligibility

License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use, subject to these Terms.

Our Application allows you to upload images to be processed by our algorithms (e.g., optimization, colorization, inpainting). The processed images will be available for download for a limited period. No account registration is required to use the basic features of the Application.

2. User Content (Your Images)

Ownership

You retain all ownership rights to the images and other content you upload to the Services ("User Content"). We claim no ownership over your User Content.

License to Process

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, process, and display such User Content for the sole purpose of operating and providing the requested Services to you.

Responsibility for Content

You are solely responsible for your User Content and the consequences of uploading or publishing it. You represent and warrant that you have (and will continue to have) all the necessary licenses, rights, consents, and permissions to upload your User Content and to grant us the license described above.

You must not upload User Content that is illegal, infringing, defamatory, obscene, pornographic, hateful, or incites violence or discrimination.

3. User Conduct and Prohibited Uses

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You agree not to:

  • •Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services.
  • •Attempt to gain unauthorized access to the Services, computer systems, or networks connected to the Services through hacking, password mining, or any other means.
  • •Upload or transmit viruses, worms, trojans, or other malicious code.
  • •Use the Services to generate content that infringes on third-party intellectual property rights, is defamatory, obscene, or promotes hatred or discrimination.
  • •Use the Services to create deepfakes or manipulated content for malicious or deceptive purposes.
  • •Resell or sublicense the Services or access to them.

4. Intellectual Property Rights

Other than your User Content, the Services and all materials therein or transferred thereby, including, without limitation, software, algorithms, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (the "Compress IQ Content"), and all Intellectual Property Rights related thereto, are the exclusive property of Compress IQ and its licensors.

Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any Compress IQ Content.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; THAT THE SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS. THE RESULTS OF IMAGE PROCESSING (SUCH AS COLORIZATION OR INPAINTING) ARE GENERATED BY AI ALGORITHMS AND MAY NOT BE PERFECT OR HISTORICALLY ACCURATE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Compress IQ, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.

7. Indemnification

You agree to defend, indemnify, and hold harmless Compress IQ and its employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

8. Modification and Termination of Services

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that Compress IQ shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

9. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of [YOUR_JURISDICTION - e.g., the State of California, USA, or your country/region], without regard to its conflict of law provisions.

You agree to submit to the personal and exclusive jurisdiction of the courts located in [YOUR_CITY_AND_JURISDICTION] for the resolution of any disputes arising out of or relating to these Terms or the Services.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Compress IQ concerning the Services and supersede all prior or contemporaneous agreements or understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Compress IQ's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
